2.When these terms apply
These terms apply to your use of this website and to any services we provide to you, including web design and development, video production and editing, social media management and paid advertising.
Each project is set out in a written proposal, quote or agreement (a “Proposal”). If anything in a Proposal conflicts with these terms, the Proposal takes priority.
3.Using this website
The content on this website is for general information only. We may change, suspend or withdraw it at any time, and we do not guarantee that it will always be available or free from errors.
When using the website you must not:
- use it in any way that breaks the law or is fraudulent;
- attempt to gain unauthorised access to the website, the server it runs on or any connected system;
- introduce viruses or other harmful material, or attack the website in any way;
- copy, scrape or reuse its content for commercial purposes without our written permission.
All content and design on this website belongs to us or our licensors. You may view it and share links to it for personal, non-commercial use.
Where the website links to other sites, those links are provided for convenience only. We have no control over those sites and are not responsible for their content.
4.Proposals and how a contract is formed
A Proposal sets out the work, deliverables, timescales and fees for your project. Proposals are valid for 30 days unless they state otherwise.
A contract is formed when you accept a Proposal in writing (email is fine) and, where the Proposal requires one, we receive your deposit. Work outside the agreed scope will be quoted separately before we start it.
5.Your responsibilities
To help us deliver on time, you agree to:
- give us accurate information, materials, access and approvals when we need them;
- make sure you own or have permission to use any logos, text, images, music, footage or other material you give us;
- arrange permission to film at any location you book, and let attendees know filming will take place, unless the Proposal says we will handle this;
- keep the login details for any accounts you share with us secure, and tell us if access needs to change.
If a delay is caused by information, materials or approvals arriving late, our timescales will move accordingly and we may charge for any extra time this causes.
6.Fees and payment
Our fees are set out in the Proposal. Prices are shown exclusive of VAT, which will be added where applicable.
- We may ask for a deposit before work begins and before we confirm a filming date.
- Invoices are payable within 14 days of the invoice date unless the Proposal says otherwise.
- Monthly retainers are invoiced in advance at the start of each month.
- We may pause work on overdue accounts, and we may charge interest and compensation on late payments from business customers under the Late Payment of Commercial Debts (Interest) Act 1998.
7.Paid advertising
Advertising budgets are separate from our management fees. Budgets are paid directly to the platform (for example Meta, Google, TikTok or LinkedIn) from your own payment method, unless we agree in writing to pay them on your behalf and recharge you.
Campaigns are subject to each platform’s own advertising policies. We are not responsible for ads that a platform rejects or restricts, or for accounts a platform suspends, where this is outside our control.
8.Revisions and changes
Each Proposal includes a set number of revision rounds. Further revisions, or changes to the agreed brief once work has started, may be charged at our standard rates. We will always tell you the cost before doing extra work.
9.Cancellation and rescheduling
If you cancel or postpone a project or filming date, we may charge for work already completed and for any costs we cannot recover, such as crew, equipment hire, travel or venue costs. Any specific cancellation charges will be set out in your Proposal.
Monthly retainers continue until either of us gives at least 30 days’ written notice, unless the Proposal sets a different minimum term or notice period.
Either of us may end a contract immediately by written notice if the other seriously breaches these terms and does not put it right within 14 days of being asked to.
10.Ownership of the work
Once we have received payment in full, you own the final deliverables we create for you, or where ownership cannot transfer, you receive a licence to use them for your business without time limit.
- Raw footage, project files and working files remain ours unless the Proposal says they will be handed over.
- Third-party assets such as stock footage, music, fonts, plugins and software are licensed to you on their own terms, which may restrict how and where they are used.
- For websites, you own the design and content we create for you. Any frameworks, libraries and tools used to build the site remain subject to their own licences.
- Until payment is made in full, all rights in the work remain with us.
11.Confidentiality and our portfolio
We keep information you share with us in confidence and only use it to deliver your project. We will sign a separate non-disclosure agreement if you need one.
We may show work we produce for you privately to prospective clients, or publicly in our portfolio and on our social channels, once it has been published by you. If you would prefer we did not, just tell us in writing and we will respect that.
12.Results and third-party platforms
We carry out our services with reasonable skill and care. Because performance depends on factors outside our control, including search engines, social and advertising platforms and your market, we do not guarantee particular results such as rankings, followers, engagement, leads or sales. Third-party services used in your project, such as hosting, domains, social networks and advertising platforms, are provided under their own terms.
13.Our liability
Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited by law.
Subject to that:
- we are not liable for any loss of profit, revenue, business, goodwill or data, or for any indirect or consequential loss;
- our total liability to you in connection with any project is limited to the fees you have paid us for that project in the 12 months before the claim arose.
If you are a consumer rather than a business, these limits do not affect your statutory rights.
14.Changes to these terms
We may update these terms from time to time. The version that applies to a project is the one in force when you accepted the Proposal. The date at the top of this page shows when they were last changed.
15.Governing law
These terms, and any dispute arising from them, are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
